SHIPFLO INC. – TERMS OF SERVICE

Welcome to ShipFlo Inc. (“Company”, “we”, “our”, “us”).
These Terms of Service (“Terms”) govern your access to and use of ShipFlo’s website, merchant portal, driver app, and delivery network services (“Service”).
By accessing or using ShipFlo, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service.


1. Overview

ShipFlo provides a technology-based platform enabling Merchants to request local, same-day, on-demand, and scheduled deliveries fulfilled by independent Drivers. ShipFlo is a facilitator and not a carrier of goods under the Canada Transportation Act.

2. Eligibility

Users must:

  • Be at least 18 years of age.
  • Have legal capacity to enter binding agreements in Ontario, Canada.
  • Provide accurate, current, and complete information.

3. Account Registration & Security

  • Users are responsible for maintaining the confidentiality of account credentials.
  • ShipFlo may suspend or terminate accounts at its discretion for fraud, harmful conduct, or policy violations.

4. Service Area & Availability

  • ShipFlo currently operates in Simcoe County and select regions across Ontario.
  • Deliveries outside standard zones may be quoted separately, delayed, or declined.

5. Delivery Standards

5.1 Operating Hours
Deliveries are performed between 9:00 AM and 9:00 PM EST, unless otherwise agreed in writing.

5.2 Same-Day Delivery / Pickup
Orders created and confirmed before the applicable same-day cut-off time and properly scheduled in the system are typically fulfilled on the same day.

5.3 On-Demand / Priority Delivery (2-Hour Fulfillment)
Available for time-sensitive deliveries within a 20 km radius of the pickup location. Service eligibility may vary depending on driver availability and operational conditions.

5.4 Timed / Scheduled Deliveries
Any delivery required before, after, or within a specific time window must be scheduled using the platform’s designated time selection fields.
Note: Requests written in order notes, messages, or shared verbally are not considered valid timing instructions and may not be fulfilled.

5.5 Next-Day Delivery
Orders designated for the Greater Toronto Area (GTA) and other applicable long-distance zones are typically delivered the next business day, unless otherwise scheduled.

5.6 Reverse Logistics (Pickups & Returns)
Merchants may schedule pickups from end customers, suppliers, or third-party locations, subject to route feasibility and availability.

5.7 Delays & Service Interruptions
Delivery times are best estimates and may be affected by weather, traffic, peak demand, road restrictions, system failures, or other operational constraints.
ShipFlo is not liable for losses, missed commitments, or damages resulting from delays beyond its reasonable control.

6. Payments, Rates & Invoicing

  • Merchants are charged based on flat-rate, per-km or radius-based pricing.
  • Invoices are issued weekly in CAD + HST, payable electronically within 3 days after generated.
  • Late payments may result in service suspension.
  • Refunds are issued only for verified failures or where legally required.

7. Delivery Scheduling & Timed Order Compliance (Merchant Obligations)

7.1 Timed Delivery Requirements

  • Any delivery requiring a specific time window must be scheduled using the platform’s official time selection fields.
  • Timing instructions written in delivery notes are not valid for routing or scheduling purposes and may not be honored.

7.2 System Interpretation of Time Requests
If a time is detected in order notes but is not entered in the scheduling fields, ShipFlo may:

  • Automatically convert the order to a Timed Delivery, or
  • Apply timed pricing or route prioritization without prior notice.

7.3 No Verbal or External Time Requests

  • Verbal instructions, phone requests, messages to drivers, or in-person timing directions are not accepted or enforceable.
  • All timing instructions must be submitted within the platform at order creation.

7.4 Merchant Responsibility
Merchants are solely responsible for:

  • Confirming recipient availability in advance.
  • Selecting the correct delivery type:
  • Same-Day (no timing restrictions)
  • Timed Delivery (if delivery must occur before/after or within a specific window)

7.5 Out-of-Town Same-Day Delivery Window

  • Same-day deliveries outside local town limits or beyond a 20 km radius are normally completed between 6:00 PM – 8:00 PM.
  • Orders required before 6:00 PM must be booked as Timed or On-Demand.

8. Delivery Attempts & Return Policy

8.1 Local Deliveries (Within town or standard service zone)

  • ShipFlo will attempt delivery twice.
  • If both attempts fail, the package will be returned at the original delivery cost.

8.2 Out-of-Town Deliveries (Beyond 15 km radius)

  • Failed deliveries may not return the same day.
  • Return may be scheduled for the next business day based on routing availability.

9. Seasonal & Packaging Requirements (Merchant Liability Clause)

During freezing or winter conditions:

  • Merchants are strongly advised not to include water in vases or floral containers while sending flowers.
  • ShipFlo is not liable for: product freezing, water damage, spillage, compromised product condition on arrival due to non compliance.

The Merchant assumes full responsibility for product packaging suitability.

10. Prohibited Deliveries

ShipFlo prohibits delivery of:

  • Illegal, hazardous, controlled, or restricted goods,
  • Unlabeled perishables lacking proper packaging,
  • Live animals, firearms, or unsafe materials.

11. Proof of Delivery & Transfer of Liability

Liability for goods transfers to the Merchant or end receiver once:

  • Proof of Delivery is collected and logged in the system.

12. Intellectual Property

All logos, software, workflow systems, routing logic, and platform content are the property of ShipFlo Inc.

13. Limitation of Liability

ShipFlo adheres to PIPEDA (Canada) and applicable provincial privacy laws.
Personal data is collected only for service delivery, billing, and compliance purposes. See our Privacy Policy for detailed information.

14. Disclaimer of Warranties

Service is provided “as is” and “as available.”
Delivery times are estimates and not guaranteed unless booked properly as Timed or On-Demand.

15. Termination

ShipFlo may suspend or terminate accounts for:

  • Policy violations,
  • Fraud,
  • Repeated delivery failures due to Merchant scheduling errors,
  • Non-payment.

16. Amendments

ShipFlo may update these Terms at any time. Continued use of Service constitutes acceptance of updated Terms.

17. Governing Law

These Terms are governed by the laws of Ontario, Canada.

19. Acknowledgement

By continuing to use ShipFlo, the Merchant confirms:

  • Delivery operations occur between 9:00 AM and 9:00 PM EST
  • On-Demand/Priority deliveries are limited to a 20 km radius
  • All timed requirements must be scheduled in the platform’s official time fields
  • Instructions related to time in notes, messages, or verbal requests are non-binding
  • System may auto-convert orders if timing is detected outside proper fields
  • Winter packaging risk lies with the Merchant
  • Out-of-town same-day deliveries occur 6–8 PM unless timed
  • Liability transfers once delivery proof is captured
